Basic Training Program Addendum

This Basic Training Program Addendum (the “Addendum”) supplements and is incorporated into the StenoWorks Rental / Rent-to-Own Terms and Conditions (the “Master Rental Terms”). If there is any conflict between this Addendum and the Master Rental Terms, this Addendum controls solely for the Basic Training Program.

By enrolling in, checking out through, paying for, or accepting delivery under the Basic Training Program, you agree to this Addendum and the Master Rental Terms.

1. Program Scope

The Basic Training Program is a limited-duration rental program for qualifying customers as designated by StenoWorks. It is not an outright sale and does not transfer ownership of the Equipment.

2. Initial Term

The initial rental term for the Basic Training Program is approximately six (6) to eight (8) weeks, depending on the applicable program, unless earlier terminated in accordance with the Master Rental Terms or this Addendum.

StenoWorks and the customer may extend the term only by mutual agreement.

3. Initial Rent; Continued Rent if Not Returned

Initial rent for the Basic Training Program is $50.00, due before shipment.

If the Equipment is not timely returned at the end of the initial term, and no new rental arrangement or other written arrangement has been entered into with StenoWorks, continued rent of $50.00 per month will accrue and remain due until the Equipment is returned and accepted by StenoWorks.

4. Shipping for Basic Training Program

For the Basic Training Program only, StenoWorks will provide FEDEX or UPS ground shipping both ways within the continental United States.

A return shipping label and return instructions may be provided with the Equipment.

Additional charges may apply for Alaska, Hawaii, expedited service, address changes, failed delivery, special handling, or other shipping-related costs not included in standard continental U.S. ground shipment.

5. Inspection on Delivery; Defect Notice

Customer must inspect the Equipment promptly upon delivery.

If Customer provides written notice to StenoWorks within five (5) business days after delivery that the Equipment has a material defect, StenoWorks will, at its option, replace the Equipment or otherwise address the issue at no additional charge to Customer.

Customer is deemed to have accepted the Equipment if Customer uses it or fails to provide timely written notice of a material defect within that five-business-day period.

6. As-Is Condition; Limited Support

Except as specifically provided in this Addendum or otherwise in writing by StenoWorks, the Equipment is rented as is.

StenoWorks may provide limited technical support for Equipment used in the Basic Training Program, but such support does not expand any warranty or create any separate service obligation.

7. No Alteration or Repair

Customer may not alter, repair, or permit any third party to alter or repair the Equipment without StenoWorks’ prior written consent.

8. Ownership; Damage; Loss or Destruction

StenoWorks remains the owner of the Equipment throughout the Basic Training Program.

Customer is responsible for loss, theft, destruction, and damage to the Equipment while it is in Customer’s care, custody, or control, reasonable wear and tear excepted.

If the Equipment is lost, stolen, or destroyed while in Customer’s care, custody, or control, Customer shall pay StenoWorks $500.00 as compensation for the loss or destruction of the Equipment, in addition to any unpaid rent or other charges then due.

Customer must immediately notify StenoWorks if the Equipment is lost, stolen, damaged, or destroyed.

9. Return Condition

Customer must return all Equipment in substantially the same condition in which it was received, reasonable wear and tear excepted, together with all included components and accessories.

10. Default; Late Charges

If any rental installment is not paid within three (3) days after the due date, Customer shall pay a $25.00 late fee.

Amounts not paid within thirty (30) days after the due date may accrue interest at the rate of 12% per annum or the maximum rate permitted by law, whichever is lower.

In addition to the remedies stated in the Master Rental Terms, StenoWorks may require immediate return of the Equipment upon default.

11. No Ownership Transfer

Participation in the Basic Training Program does not, by itself, transfer ownership of the Equipment or create any ownership interest in Customer unless StenoWorks expressly agrees otherwise in a separate written arrangement.

12. Incorporation of Master Rental Terms

Except as expressly modified by this Addendum, all provisions of the Master Rental Terms remain in full force and effect and are incorporated by reference into this Addendum.
